Terms of Use

These Terms of Use (the Terms) are a binding agreement between you and Banana Analytics Inc., a New Mexico corporation (RipeSell, we, us, or our), which operates the RipeSell website and platform (the Service). Please read them carefully. They include a binding arbitration agreement and a class-action waiver (Section 16) that affect how disputes are resolved.
By creating an account, requesting access, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
Plain-language summary (not a substitute for the full Terms): RipeSell scores public property records to estimate how likely each owner is to sell, for real-estate professionals. The scores are estimates, not facts or guarantees. You may use RipeSell only for lawful real-estate purposes, and you are responsible for following the laws that govern how you contact people and use their information. RipeSell is not a consumer reporting agency and the Service is not a consumer report.
1. Acceptance and eligibility
You may use the Service only if you can form a binding contract with us and are at least 18 years old. By using the Service you represent that you meet these requirements and that you are using the Service for business or professional purposes, not as a consumer.
If you use the Service on behalf of a company or other organization, you represent that you are authorized to bind that organization to these Terms, and you and that organization both agree to these Terms.
2. What RipeSell is, and what it is not
RipeSell aggregates publicly available property and ownership records and applies a transparent scoring model to estimate the relative likelihood that a given property owner may sell. The output is a ranked list of property owners with explanatory signals.
The scores and signals are estimates and opinions, not statements of fact about any person, and not predictions we guarantee. They are derived from public records that may be incomplete, out of date, or inaccurate. You should independently verify any information before relying on it.
RipeSell is not a consumer reporting agency, and the Service, its scores, and its data are not a “consumer report” or “investigative consumer report” under the federal Fair Credit Reporting Act (FCRA) or any similar state law. You may not use the Service, in whole or in part, as a factor in establishing any person’s eligibility for credit, insurance, employment, housing (including tenant screening), or for any other purpose covered by the FCRA.
3. Your account
You are responsible for the accuracy of the information you provide, for keeping your login credentials secure, and for all activity that occurs under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms.
4. Permitted use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own lawful real-estate business purposes, such as identifying and researching potential off-market acquisition opportunities.
5. Prohibited uses
You agree that you will not, and will not permit anyone else to:
FCRA-covered uses
Use the Service or any data from it, in whole or in part, to make or influence decisions about a person’s eligibility for credit, insurance, employment, housing or tenant screening, or any other FCRA-covered purpose. You also will not combine the data with any other information so that it becomes a “consumer report” or “investigative consumer report” under the FCRA or similar law.
Other prohibited uses of the data
Use the data: to determine legal ownership of, or title to, any property (our reports are not title or insured products); as a substitute for a property appraisal, broker price opinion, or other valuation; for loan or insurance underwriting or risk evaluation, or the sale of insurance; for debt collection; or to determine eligibility for a government license, benefit, or service. The data is informational only and is not a substitute for professional, legal, or title services.
Discrimination and fair housing
Use the Service to target, exclude, or treat people differently on the basis of race, color, religion, national origin, sex, familial status, disability, age, or any other characteristic protected by the Fair Housing Act or other anti-discrimination laws.
Harassment, fraud, and unlawful contact
Use the Service or its data to harass, stalk, intimidate, defraud, or threaten any person; to make unlawful or deceptive solicitations; or to contact any person in violation of the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, state telemarketing or Do-Not-Call rules, or any other law governing communications. You are solely responsible for your outreach and for obtaining any required consents.
Resale, redistribution, and database-building
Sell, sublicense, redistribute, or build a competing product from the Service or its data; copy, store, or retain the data to build your own database, model, or derivative product; extract or draw out individual data elements except for your own internal use of the results we present; or scrape, harvest, or bulk-extract data except through features we expressly provide.
Reverse engineering and AI training
Copy, decompile, reverse engineer, or attempt to derive the source code or scoring methodology of the Service; or use the Service or its data to develop, train, or improve any machine-learning model, large language model, or other artificial-intelligence system.
Security, integrity, and acceptable use
Interfere with or disrupt the Service, attempt to gain unauthorized access to it, access it by any automated means (robot, crawler, scraper, or similar) except features we provide, circumvent usage limits or access controls, share your credentials, or use the Service in any way that violates applicable law or these Terms. You consent to our monitoring your usage (including search volume and patterns) to detect abuse, excessive use, and data mining; we may suspend or terminate accounts engaged in such activity.
Suppressed and protected records
Use, retain, or contact any owner whose information you know or should know is subject to a suppression, confidentiality, or address-confidentiality program (for example, programs protecting survivors of violence or certain public officials), or whom we have flagged as opted out or suppressed.
6. Your responsibility to comply with the law
You are solely responsible for ensuring that your access to, and use of, the Service and its data complies with all laws that apply to you, including the FCRA, the Fair Housing Act, the TCPA, the CAN-SPAM Act, state Do-Not-Call and telemarketing laws, state privacy and data-broker laws, and the terms of use of the underlying public-record sources. Some jurisdictions restrict the commercial use of public property records or owner lists; it is your responsibility to honor those restrictions in the jurisdictions where you operate.
7. Owner rights and opt-out
RipeSell respects requests from property owners to access, correct, or suppress their information, as described in our Privacy Policy, including redaction requests by protected public officials and other covered individuals under laws such as New Jersey’s Daniel’s Law and the Missouri and Oklahoma Judicial Privacy Acts. If a property owner whose record appears in the Service submits a verified opt-out, deletion, or redaction request, we will suppress that record from new results as required by applicable law. You agree to honor any suppression we communicate to you and to delete suppressed records from any list you exported.
8. Intellectual property
The Service, including its software, design, scoring methodology, and all content other than the underlying public records, is owned by us or our licensors and is protected by intellectual-property laws. Except for the limited license granted above, we reserve all rights. “RipeSell” and our logos are our trademarks and may not be used without our prior written permission.
9. Fees, plans, and trials
Some features may be offered free of charge and others on a paid basis. If you purchase a paid plan, you authorize us (and our payment processor) to charge the applicable fees, which are non-refundable except as required by law or expressly stated at purchase. We may change pricing prospectively on notice. Any free-access or early-access program may be modified or discontinued at any time.
10. Third-party data and services
The Service relies on data from government and third-party sources and on third-party service providers. We do not control and are not responsible for the accuracy, availability, or practices of those sources or providers. Your use of any third-party service is governed by that third party’s terms.
11. Disclaimer of warranties
THE SERVICE AND ALL DATA, SCORES, AND CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty regarding accuracy, completeness, timeliness, or the results of using the Service. We do not warrant that any owner identified by the Service is in fact likely to sell, or that any information is correct or current.
12. Limitation of liability
To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to the Service, even if advised of the possibility. Our total liability for any claim relating to the Service will not exceed the greater of (a) the amounts you paid us for the Service in the 12 months before the claim, or (b) one hundred U.S. dollars ($100). Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
13. Indemnification
You will defend, indemnify, and hold harmless RipeSell and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service, your outreach to or contact with any person, your exported data, or your violation of these Terms or any law.
14. Termination
You may stop using the Service at any time. We may suspend or terminate your access at any time, with or without notice, if we believe you have violated these Terms or applicable law, or to protect the Service or others. Sections that by their nature should survive termination (including disclaimers, limitation of liability, indemnification, and governing law) will survive.
15. Changes to the Service and these Terms
We may modify the Service or these Terms at any time. If we make material changes to these Terms, we will update the effective date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
16. Governing law; arbitration; class-action waiver
These Terms are governed by the laws of the State of New Mexico, without regard to conflict-of-laws rules. Please read this Section carefully. It requires most disputes to be resolved by individual binding arbitration and waives your right to a jury trial and to participate in a class action.
Agreement to arbitrate
You and RipeSell agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service (a Dispute) will be resolved by binding arbitration on an individual basis, rather than in court, except as stated below. The Federal Arbitration Act governs the interpretation and enforcement of this Section.
The arbitration will be administered by the American Arbitration Association (AAA) under its rules then in effect (for businesses, its Commercial Arbitration Rules), as modified by these Terms. The arbitrator may award the same individual relief a court could. Judgment on the award may be entered in any court with jurisdiction.
Class-action and jury-trial waiver
You and RipeSell each waive the right to a trial by jury and the right to bring or participate in any class, collective, consolidated, or representative action. The arbitrator may not consolidate more than one person’s claims or preside over any form of representative or class proceeding. If this waiver is found unenforceable as to a particular claim, that claim (and only that claim) will be severed and heard in court.
Exceptions
Either party may bring an individual claim in small-claims court if it qualifies. Either party may also seek injunctive or other equitable relief in court to protect its intellectual property or confidential information. These exceptions are not a waiver of the rest of this Section.
Your right to opt out of arbitration
You may opt out of this arbitration agreement by emailing legal@ripesell.com within 30 days of the date you first accepted these Terms, stating your name and your intent to opt out. If you opt out, the Disputes provision below applies to you instead. Opting out does not affect any other part of these Terms.
Court disputes (if arbitration does not apply)
For any Dispute not subject to arbitration (including if you validly opt out, or for claims that fall within the exceptions above), the exclusive venue will be the state and federal courts located in Bernalillo County, New Mexico, and you consent to their personal jurisdiction and venue.
17. Miscellaneous
These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service. If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them. There are no third-party beneficiaries. In any action or proceeding to enforce these Terms, the prevailing party is entitled to recover its reasonable attorneys’ fees and costs.
